Terms of Service

Welcome to Primus. Primus is the automated artificial intelligence research platform operated by Transformer Lab ("Transformer Lab," "we," "us," or "our") and provided at primus.lab.cloud. These Terms of Service ("Terms") govern your access to and use of Primus, together with our websites and related services. By registering for an account or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms & Language Clause

By accessing Primus, you agree to these Terms and our Acceptable Use Policy (AUP). If you do not agree, you may not use our services.

The parties acknowledge that they have explicitly required that these Terms of Service and all related documents be drafted in English.

You must be at least 14 years of age to create an account and use Primus, in accordance with applicable Canadian privacy laws including Quebec's Law 25. If you are under the age of majority in your province or territory of residence, you must have the explicit permission of a parent or legal guardian to use the platform.

3. Intellectual Property, Discovery Ownership & License to Improve

You retain full ownership of all research directions, prompts, data, code, artifacts, models, and scientific discoveries generated or input through your workspace ("User Content"). Transformer Lab claims no intellectual property ownership over the output or discoveries produced by you using Primus.

License to Improve Services: While you retain ownership of your User Content, by using our services, you grant Transformer Lab a non-exclusive, worldwide, royalty-free license to use, store, and process your prompts, interactions, and provided data solely for the purpose of operating, maintaining, and improving our services.

4. Shared Responsibility, Human Data & Ethics Compliance

Transformer Lab operates on a Shared Responsibility Model. While we secure the underlying cloud infrastructure, you are solely responsible for securing your applications, data, and research workflows.

Human Subjects & Sensitive Data: Primus is not certified out-of-the-box for storing unencrypted Personal Health Information (PHI) or Personally Identifiable Information (PII). If your research involves human subjects, clinical data, or PII, you are strictly responsible for:

  • Obtaining all required Institutional Review Board (IRB), Research Ethics Board (REB), or ethics committee approvals.
  • Ensuring all data is legally cleared and fully anonymized prior to upload.
  • Complying with the Personal Information Protection and Electronic Documents Act (PIPEDA), provincial laws (e.g., PHIPA, Law 25), and applicable international standards (e.g., GDPR).

5. AI Nature, Verification & Verification Packages

Primus utilizes complex statistical models. While engineered to minimize hallucinations and ground outputs against reproducible experiments, AI models can produce erroneous or fabricated data. Users are provided with reproducibility packages (containing raw logs, code, and datasets) and are solely responsible for independently verifying all claims, data, and code prior to real-world application.

6. NO PROFESSIONAL ADVICE DISCLAIMER

CRITICAL DISCLAIMER: Outputs generated by Primus do NOT constitute professional advice—including but not limited to medical, clinical, engineering, legal, structural, or financial advice. You shall not use Primus outputs to provide medical diagnoses, treatment plans, engineering certifications, or safety-critical evaluations. Transformer Lab expressly disclaims any liability for reliance placed on AI-generated outputs by you or any third party.

7. Prohibition on Submitting AI Papers to Peer Review ("Respect Peer Reviewers' Time")

The academic peer-review system relies on the voluntary time of human experts. To protect academic integrity and respect peer reviewers, you explicitly agree not to submit AI-generated papers, manuscripts, or research authored by Primus to journals, conferences, or peer-reviewed academic venues. Violation of this section constitutes a material breach of these Terms and will result in immediate account termination.

8. Export Controls and Regulated Technologies

Your use of Primus must comply with all applicable Canadian export control laws. You may not use the platform to develop, host, or transmit software, technical data, or technology listed on Canada's Export Control List (ECL) or regulated under the Controlled Goods Program (CGP) without proper authorization from the Government of Canada. Services may not be used by entities under Canadian economic sanctions (SEMA).

9. Limitation of Liability

To the maximum extent permitted by applicable law, Transformer Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, physical harm, data corruption, or legal non-compliance, arising out of your use or reliance upon the platform or AI outputs.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Toronto, Ontario.
